The Site, its content, programs, services, and online member portal at yeshealthiervip.com are owned by Yes Healthier Inc. (“we”, “us”, “our” , “Company”). Yes Healthier Inc. in its entirety is solely for informational purposes. These Terms and Conditions govern your use and registration in this website and online member portal (“Site”, collectively “Sites”) and the programs, services, features, content, applications we offer (collectively with the Sites, the “Services”).

Please read this agreement carefully. Your use of and/or registration on any aspect of the Sites or Services will constitute your agreement to these Terms and Conditions and our Privacy Policy. Accessing the Sites or Services, in any manner, whether automated or otherwise, constitutes use of the Site and your agreement to be bound by these Terms and Conditions. If you cannot agree with these Terms and Conditions, promptly exit the Site and discontinue use of the Services.

We reserve the right, in our sole discretion, to modify or update these Terms and Conditions at any time for any reason, without notice to you. It is your responsibility to periodically review these Terms and Conditions as posted here for any changes. Your continued use of the Sites or Services by you will constitute your acceptance of any changes or revisions to the Terms and Conditions.

1. The Sites and Services are offered and available to users who are 18 years of age or older. By accessing or using the Sites or Services, you confirm that you are 18 years or older. If you do not meet this requirement, you must not access or use the Sites and Services. Articles posted on the Sites including their contents are created for adults only. We offer tailored programs and services for children under the age of 18 but they are done directly and contractually with a parent or legal guardian.

Subject to your compliance with these Terms and Conditions, Yes Healthier Inc. grants you a limited, revocable, non-exclusive, non-transferable, non-sub-licensable license to access and make non-commercial personal use of the Sites and Services. This license does not include any resale or commercial use of the Sites or Services; any collection and use of any product listings, descriptions, or prices; any derivative use of the Sites or Services; any downloading or copying of account information for the benefit of another merchant; or any use of data mining, robots, or similar data gathering and extraction tools. You may not use any meta tags or any other “hidden text” utilizing Yes Healthier Inc.’s name without the express written consent of Yes Healthier Inc. All materials on the Sites, Services, and social media accounts including private Facebook groups are the copyrighted property of Yes Healthier Inc. You shall not reproduce, duplicate, copy, modify, republish, upload, post, transmit, translate, sell, resell, create derivative works, distribute in any manner (including by print, audio, video, email or other electronic means), or otherwise exploit any material from the Yes Healthier Inc. social media accounts, Sites and Services including class content. You cannot teach a class to others, either for free or for a fee. You cannot resell a class, program or other service in its entirety or any portion of the content including the patient-recommended thyroid doctor lists to other individuals or to groups of individuals.
3. We reserve the right to terminate your access to our Sites, Services or social media platforms for any reason including 1) to protect and defend our rights or property or those of our users or licensees, (2) to protect the personal safety or rights of our users or the public, or (3) to investigate or respond to any real or perceived violation of our Terms & Conditions, our Terms of Program/Service Agreement with clients, Privacy Policy or any other terms of use or agreement you have with us.
4. By submitting or posting any material (including blog comments, guest articles, social media postings and comments) to us via the Sites, Services, social media accounts, contact forms, email, phone, text, private messages, DMs, or otherwise, you are representing: (i) that you are the author and copyright owner of the submission and/or have all rights necessary to provide this submission including images and videos; (ii) that you take full responsibility for the accuracy, copyright compliance, decency, legality, or any other aspect of submitted material; (iii) that you grant Yes Healthier Inc. unrestricted, worldwide, irrevocable, royalty-free, perpetual, non-exclusive, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivate works from, distribute, and display such content in whole or part including any guest post, guest article, testimonial, photos, audio, videos, information, ideas, drawing or concepts contained in such content throughout the world in any media; (iv) that you agree to be solely responsible for your submitted content including links to external websites and any consequences of publishing it on the Sites, Services, or social media accounts. You agree that the views expressed are your own and do not necessarily reflect the views of Yes Healthier Inc. Posting your submitted content on our Sites, Services or social media accounts does not constitute support or endorsement by Yes Healthier Inc.; (v) that use of the content you supply will not cause injury to any person or entity; (vi) that you will indemnify Yes Healthier Inc. for all claims resulting from content you supply; (vii) that Yes Healthier Inc. has the right but not the obligation to monitor and edit or remove any activity or content; (viii) that Yes Healthier Inc. takes no responsibility and assumes no liability for any content posted by you or any third party as set out throughout the Terms and Conditions; and (ix) that you acknowledge that we reserve the right to remove or reject submitted content by you at any time without notice and without need to provide explanation.
5. You acknowledge that Yes Healthier Inc. is not responsible for material submitted by guest writers and published on the Sites, Services or social media accounts. Content in a guest post, guest article, guest podcast, guest audio, or guest video is the sole responsibility of that content creator. Yes Healthier Inc. is not responsible for and does not necessarily hold the opinions expressed by our content contributors. Opinions and other statements expressed by guests are theirs alone, not opinions of Yes Healthier Inc. Content created by a third party is the sole responsibility of the third party and its accuracy and completeness are not endorsed or guaranteed. While some of our content contributors may be professional healthcare providers including physicians, Yes Healthier Inc. is not rendering medical advice of any kind.

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT ALL INFORMATION PROVIDED ON THE SITEA, SERVICES, AND SOCIAL MEDIA ACCOUNTS INCLUDING ALL TEXT, PHOTOGRAPHS, IMAGES, ILLUSTRATIONS, GRAPHICS, AUDIO, VIDEO, AND OTHER MATERIALS, WHETHER PROVIDED BY YES HEALTHIER INC., OTHER USERS OR THIRD PARTIES, IS PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND IS NOT INTENDED TO BE AND SHOULD NOT BE USED OR RELIED UPON AS MEDICAL ADVICE OR USED IN PLACE OF THE ADVICE OF YOUR PHYSICIAN OR OTHER MEDICAL PROFESSIONALS. PLEASE CONSULT WITH YOUR PHYSICIAN OR OTHER HEALTHCARE PROVIDER BEFORE MAKING ANY CHANGES TO YOUR HEALTH INCLUDING CHANGES BASED ON INFORMATION YOU OBTAIN FROM YES HEALTHIER INC.
7. NEVER DISREGARD, AVOID, OR DELAY OBTAINING MEDICAL ADVICE BECAUSE OF ANY CONTENT PRESENTED ON THE SITES, SERVICES OR SOCIAL MEDIA ACCOUNTS. YES HEALTHIER INC. IS NOT INTENDED TO DIAGNOSE, TREAT, CURE OR PREVENT ANY DISEASE. RELIANCE ON ANY INFORMATION APPEARING ON THE SITE, SERVICES, OR SOCIAL MEDIA PLATFORMS, WHETHER PROVIDED BY YES HEALTHIER INC., ITS CONTENT CONTRIBUTORS, MEDICAL EXPERTS, SPONSORS, AFFILIATES, VISITORS TO THE SITE OR OTHERS, IS SOLELY AT YOUR OWN RISK. Yes Healthier Inc., including its Sites, social media platforms, webinars, group calls, newsletter, email communications, programs, digital classes, individual virtual consultations, and other services, is designed for informational purposes only, and not intended to diagnose, treat, cure or prevent any disease. You should not rely on this information as a substitute for, nor does it replace, professional medical advice, diagnosis, or treatment. If you have any concerns or questions about your health, you should always consult with a physician. You understand that products including supplements included at Yes Healthier Inc. may contain materials that could be dangerous if handled improperly, and you acknowledge that Yes Healthier Inc. is not liable for any personal injury or property damage arising from use of such products. You further acknowledge that products may not be suitable for use by children, and you expressly assume sole liability for providing any individual under the age of 18 with access to any products. You herby agree not to use products for any illegal purpose and you assume all liability for any action you take for any action that is contrary to any law, rule, or regulation of any territory.
12. Our Sites include a commenting functionality and our social media platforms allow followers to communicate with one another. Our Services may also include exclusive access to private Facebook groups for members only, webinars, podcasts, group video and audio meetings. We do not control the posts, comments, messages, information, links or files that you or others may provide through these public forums. Yes Healthier Inc. expressly disclaims all responsibility and endorsement and makes no representation as to the validity of any opinion, advice, information or statement made or displayed in these forums by third parties, nor are we responsible for any errors or omissions in such postings, or for hyperlinks embedded in any messages. Under no circumstances will we be liable for any loss or damage caused by your reliance on information obtained through these forums. The opinions expressed in these forums are solely the opinions of the members and do not reflect the opinions of Yes Healthier Inc. We are not obligated whatsoever to monitor any of the content or postings on these public forums. However, you agree and acknowledge that we reserve the right to alter, edit, refuse to post, remove any postings, or block individuals for any reason including violation of posted rules of engagement.
13.  You acknowledge your voluntary use of third-party social media channels including private Facebook groups. In no event shall Yes Healthier Inc. be liable, directly or indirectly, to anyone for any loss or damage arising from or occasioned by the third parties, their content, advertisements, privacy policies, and services. You should direct any concerns to the third party.
14. If you use the Site, Services, or social media channels, you are responsible for maintaining the confidentiality of your personal and medical information and for restricting access to your computer, which may comprise such confidential information, and you agree to accept responsibility for all and any potential distribution of such confidential personal information.
15. We reserve the right to change, suspend or discontinue any aspect of the Sites at any time in our sole discretion and without notice or liability, including by adding or eliminating certain features or discontinuing the Sites entirely. Any description of features on the Sites shall not be considered to be a representation by Yes Healthier Inc. that such features will always be included on the Sites. From time to time, we may restrict access to some or all of the Sites, including for members of the VIP membership portal at yeshealthiervip.com. We also reserve the right to terminate or suspend your member account or restrict your use of or access to the Sites, without notice or liability, for any reason or no reason at our sole discretion. If we suspend or discontinue any aspect of the Sites or terminate your member account, we are not responsible for providing you with any information or content. You have no recourse with regard to any information that we delete regardless of any value you may ascribe to such information. We expressly disclaim any value you may attribute to any of your information stored on our servers.
16. Services that include a private Facebook group or other private forum include these rules of engagement: (i) this is a paid group for members only; (ii) members may join with a personal FB account only (one account per class member) not a business account or page; (iii) self-promotional posts or comments made by members who have a financial interest, directly or indirectly, in a product or service will be deleted without warning; (iv) do not post personal medical information including lab results and do not ask for and do not give medical advice; (v) we urge you to give thorough consideration before sharing information that is private in nature in a public format; (vi) do not cross-promote other groups, pages, websites, programs, services, or products within this group; (vii) zero tolerance for abusive, negative, vulgar, pornographic, or bullying posts; (viii) the information you receive in this group is for your personal noncommercial use only and not to be shared; (ix) no spam allowed; (x) no solicitation, no private messaging, no direct messaging, or other form of communication directing conversation outside the group; (xi) the content shared in this group is for informational purposes only not to be taken as personal medical advice nor to replace a relationship with your doctor; (xii) consult your doctor before making any changes to your health; (xiii) you take full responsibility for what you choose to do with the information obtained from this group; (xiv) if you are removed from the group for violating a rule you will not be allowed to participate in future. Yes Healthier Inc. uses independent third parties (i.e., CRM, payment processor, electronic file transfer systems, virtual intake platform, tracking & analytics platform, supplement companies, laboratory providers, eLearning platform, private Facebook groups, video conferencing and virtual meeting services) to provide a streamlined digital delivery of programs and services. You acknowledge your voluntary use of these third parties. In no event shall Yes Healthier Inc. be liable, directly or indirectly, to anyone for any loss or damage arising from or occasioned by the third parties and their Sites, content, information, materials, programs, and services. You should direct any concerns to the third party.
18. To use certain features of the Sites, its content, programs or services, you may need a username and password. You are responsible for maintaining the confidentiality of the username and password, and you are responsible for all activities, whether by you or by others, that occur under your username or password and within your account. We cannot and will not be liable for any loss or damage arising from your failure to protect your username, password or account information.
19. Yes Healthier Inc. includes links to third-party websites (“Linked Sites”) on the Sites, Services and social media accounts to provide references and resources to our viewers. Yes Healthier Inc. is not responsible for the content, availability, advertising, products, services or other materials of any such Linked Sites, or any additional links contained therein. Our linking to such third-party sites does not imply an endorsement or sponsorship of such sites, or the information, products or services offered on or through the sites. In no event shall Yes Healthier Inc. be liable, directly or indirectly, to anyone for any loss or damage arising from or occasioned by the creation or use of the Linked Sites or the information or material accessed through these Linked Sites. You should direct any concerns to that site’s administrator or webmaster.
20. Yes Healthier Inc. participates in affiliate programs. When you click on some, but not all, links at Yes Healthier Inc. including the blog articles, online member portal, digital class content, health coaching program content, social media posts, Zoom chat feature, and/or email communications, we may earn a commission from these programs. Yes Healthier Inc. does not endorse, make claim to or verify any of the information found on third-party websites including affiliates. We are not responsible for the quality, accuracy, timeliness, reliability or any other aspect of these products and services. You release us from any damages that you incur, and agree not to assert any claims against us, arising from your purchase or use of any products or services made available by third parties through the Sites, Services or social media channels.
21. Your participation, correspondence or business dealings with any third party found on or through our Sites, Services or social media channels are solely between you and such third party. If you make a purchase on a Linked Site or any additional links contained in the Linked Site or in any other manner, that purchase is made solely between you and such independent third party. A Linked Site may have privacy and data collection practices that are different from ours. We have no responsibility or liability for these independent policies. You agree that Yes Healthier Inc. shall not be responsible or liable for any loss or damage that you incur, and agree not to assert any claims against Yes Healthier Inc., arising from your purchase or use of any products or services made available by third parties through the Sites, Services, or social media channels.
22. Yes Healthier Inc. participates in marketing and affiliate programs with healthcare providers including Nitek Medical Inc. When you are referred to some healthcare providers, but not all, we may earn a commission from your purchase. The healthcare providers are independent of Yes Healthier Inc. When you make a purchase with a third party, you acknowledge that you are not entering into a healthcare provider-patient relationship with Yes Healthier Inc. Yes Healthier Inc. does not provide medical care of any kind. Your purchase is made directly to the third party, not Yes Healthier Inc. In no event will Yes Healthier Inc. be liable to any party for any direct, indirect, special, punitive, incidental or consequential damages or any other damages arising in any way out of your purchases from third parties. Yes Healthier Inc. disclaims all representations and warranties of any kind with respect to any professional that is or may be featured on our Sites, Services or social media channels, that is or may be featured or recommended by the third party. Yes Healthier Inc. does not screen the third parties and we do not endorse or recommend the third parties. Accordingly, Yes Healthier Inc. cannot guarantee the success or level of care that may be provided by any such third party. Each and every user that purchases from a third party through our Sites, Services or social media channels shall do so at his/her own risk.
23. The patient-recommended thyroid doctor lists are solely compilations of patient-recommended healthcare practitioners by region based on recommendations from followers of our Sites, the Site HypothyroidMom.com and social media platforms. The patient-recommended thyroid doctor lists are provided as resources for informational purposes only, and not based on any remuneration or payment from the practitioners included on the lists. We do not verify or investigate contact information, education, credentials, patient reviews, malpractice claims, insurance acceptance, or services of the providers listed. We do not endorse or recommend the practitioners listed and cannot guarantee a positive outcome. All advice and services given by those listed on the lists will be taken by you independently utilizing your own discretion. Selecting a practitioner from the lists is not a substitute for a thorough investigation on your part as to whether that practitioner is suitable and competent. You will not hold Yes Healthier Inc. or Hypothyroid Mom LLC responsible in any way for the background, professional degree, education, training, licensure, scope of practice, clinical experience, malpractice, claims history, insurance reimbursement options, or expertise of any practitioner you may contact as a result of the lists. Should you experience an unsatisfactory outcome of care with anyone named in the lists or their staff, you will not hold Yes Healthier Inc. or Hypothyroid Mom LLC responsible for that outcome. Hypothyroid Mom LLC is a separate and independent entity.
24. EXCEPT AS EXPRESSLY PROVIDED HEREUNDER TO THE CONTRARY, THE YES HEALTHIER INC. SITES, THE CONTENT THEREON, AND THE PRODUCTS/SERVICES OFFERED THEREBY ARE PROVIDED “AS IS,” “WHERE IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. WITHOUT LIMITATION OF THE FOREGOING AND IN ADDITION TO THE OTHER DISCLAIMERS SET FORTH ELSEWHERE IN THESE TERMS AND CONDITIONS, YES HEALTHIER INC. SPECIFICALLY DISCLAIMS ANY AND ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO: (i) ANY WARRANTIES CONCERNING THE AVAILABILITY, ACCURACY, APPROPRIATENESS, RELIABILITY, TIMELINESS, USEFULNESS, OR OTHERWISE OF THE CONTENT; AND (ii) ANY WARRANTIES OF TITLE, WARRANTY OF NON-INFRINGEMENT, WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. 25. YES HEALTHIER INC. DOES NOT WARRANT OR GUARANTEE (A) THAT ANY PORTION OF THE SITES WILL BE FREE OF INFECTION BY VIRUSES, WORMS, TROJAN HORSES OR ANYTHING ELSE MANIFESTING CONTAMINATING OR DESTRUCTIVE PROPERTIES; OR (B) THAT ACCESS TO THE SITES WILL BE UNINTERRUPTED OR ERROR-FREE. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, THE PRECEDING SHALL EQUALLY AND FULLY APPLY TO ALL CONTENT, SERVICES OR PRODUCTS MADE AVAILABLE BY YES HEALTHIER INC.
26. YES HEALTHIER INC. DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE MATERIALS ON THE SITES AND SERVICES. IN ADDITION, EACH AND EVERY USER THAT SEEKS TO PROCURE AND USE PRODUCTS AND/OR SERVICES FROM YES HEALTHIER INC. SHALL DO SO AT HIS/HER OWN RISK.

IN NO EVENT WILL YES HEALTHIER INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SPONSORS, SUPPLIERS, ADVERTISERS, PARENTS, AFFILIATES, SUCCESSORS OR ASSIGNS, BE LIABLE TO ANY PARTY (i) FOR ANY DIRECT, INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES OR ANY OTHER DAMAGES ARISING IN ANY WAY OUT OF THE AVAILABILITY, USE, RELIANCE ON, OR INABILITY TO USE THE YES HEALTHIER SITES, INCLUDING OUR BLOGS, ONLINE MEMBER PORTAL, SOCIAL MEDIA POSTS, COMMENTS OF OTHERS, BOOKS, VIDEOS, EMAILS, PRODUCTS, OR SERVICES, OR THIRD-PARTY MATERIALS, PRODUCTS, OR SERVICES MADE AVAILABLE THROUGH THE SITES OR BY US IN ANY WAY, EVEN IF YES HEALTHIER INC. OR ITS AGENTS SHALL HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, OR OTHERWISE; (ii) FOR ANY LIABILITY OR HARM ARISING FROM YOUR USE OF ANY REFERRAL OR THIRD-PARTY LINKED SITE; (iii) FOR ANY DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY USER; OR (iv) FOR ANY CLAIM ATTRIBUTABLE TO ERRORS, OMISSIONS, OR OTHER INACCURACIES. YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SITES, ANY MATERIALS, PRODUCTS, SERVICES, REFERRALS, AND/OR LINKED WEBSITES IS TO STOP USING THE SITE AND/OR THOSE SERVICES. TO THE EXTENT ANY ASPECTS OF THE FOREGOING LIMITATIONS OF LIABILITY ARE NOT ENFORCEABLE, THE MAXIMUM LIABILITY OF YES HEALTHIER INC. TO YOU WITH RESPECT TO YOUR USE OF THE SITES AND SERVICES IS $1000 (ONE THOUSAND U.S. DOLLARS).
28. Upon a request by Yes Healthier Inc., you agree to defend, indemnify and hold Yes Healthier Inc., its affiliates, officers, directors and employees harmless from any and all claims, liabilities, costs and expenses, including reasonable attorneys’ fees, arising in any way from your use or misuse of the Yes Healthier Inc. Sites and Services, or the uploading, posting, publishing, emailing, reproduction, distribution or transmission of any Content or other materials by you or users authorized by you or any violation of these Terms by you. Yes Healthier Inc. reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with Yes Healthier Inc. in asserting any available defense.
29. All sales of our programs, classes, individual virtual consultations, and services are final. You acknowledge and agree that there will be no refunds.
30. If you are late for a scheduled virtual meeting, the meeting will proceed as scheduled but will end at the originally determined end time. Please allow 24 hours to reschedule an appointment. If you fail to keep 24 hour advance notice, there will be 50% of the selected service charge. Frequent rescheduling (3 times) will result in a cancel without your consent and a no show charge will be applied. The no show charge is the full amount of your service.
31. You agree that these Terms and Conditions shall be construed according to the laws of the Province of Ontario, Canada. In the event a dispute arises, you agree and expressly consent that such dispute shall be settled by an arbitrator, who shall be Arbitration Place, currently in Toronto, Ontario, Canada or an arbitrator chosen by Arbitration Place. You agree that the arbitrator shall decide the procedure of the arbitration and such costs of the arbitration shall be paid equally by You and Yes Healthier Inc.
32. THIS AGREEMENT CONTAINS A MANDATORY INDIVIDUAL ARBITRATION AND CLASS ACTION/JURY TRIAL WAIVER PROVISION THAT REQUIRES THE USE OF BINDING ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS.
33. You may only resolve disputes with Yes Healthier Inc. on an individual basis, and may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action. Class arbitrations, class actions, private attorney general actions, and consolidation with other arbitrations aren’t allowed. The arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of a class or representative proceeding or claims unless all parties specifically agree to do so following initiation of the arbitration. All arbitrations shall be conducted in Toronto, Ontario, Canada.
34. Regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Sites, Services, or the Terms and Conditions must be filed within one (1) year after such claim or cause of action arises or it will be forever barred.
35. If any part of these Terms and Conditions is found to be invalid or unenforceable, that portion will be severed from these Terms and Conditions and shall be construed in a manner consistent with applicable law to reflect, and the remainder of these Terms and Conditions shall remain in full force and effect.
